Before the capital increase in which Spreds Finance will participate at the end of the offer, the founders (Mr. Viovy and Mr. Lewiner, directly or indirectly) of Fluigent Holding jointly hold 54.67%.

The capital increase to which Spreds Finance will participate is part of a broader funding of Fluigent Holding of minimum 1,730,000 EUR and maximum 3,275,000 EUR. This funding will be allocated as follow:

- Between minimum 30,000 EUR and maximum 90,000 EUR will be subscribed by Spreds Finance based on the results of the issuing Notes ( 1 Note = 500 EUR ).

- A minimum of 1,610,000 EUR and a maximum of 3,245,000 EUR will be invested by other investors.

The value of the company before this increase in capital is presently stands at 15,331,151 EUR. Following this increase in capital, the value of the company will range between 17,031,151 EUR and 18,606,151 EUR.

The table below presents the percentages of the capital held by the Fluigent Holding account of Spreds Finance depending on the results of the Notes issue (i.e., a minimum of 30,000 EUR and maximum of 90,000 EUR) and the minimum and maximum amounts contributed by the other investors (i.e., a minimum of 1,610,000 EUR and a maximum of 3,245,000 EUR).

Inventures II is an early stage venture capital fund investing in businesses that support the transition towards a more sustainable world. The fund will act as the co-investor.

Following an agreement, the fund will retrocede a part of its shares to Spreds crowd. More precisely, Inventures II already invested in Fluigent Holding for an amount of 1,050,000 EUR and will retrocede between 30,000 and 90,000 EUR to Spreds.
