Before the capital increase to which MyMicroInvest Finance will participate, the entrepreneurs of Zendo Relaxing drink (denominated as LKMH SPRL) own 80% of the shares of the company, while 20% are owned by other investors.

The share capital is represented by 1.250 shares.

The capital increase in which MyMicroInvest Finance will participate fits into a broader financing planned to be 200,000 EUR with other investors. This financing should be organised as follows:

- between minimum 44,000 EUR and maximum 87,912 EUR will be subscribed by MyMicroInvest Finance on the basis of the results of the issuance of the Notes.

- between 112.088 EUR and 266.000 EUR will be subscribed by other investors, type business angels.

The value of the company before these capital increases is presently valuated at a maximum of 1,050,000 EUR. Following this capital increase, the value of the company shall be between 1,250,000 EUR and 1,350,000 EUR, i.e. the estimated value of maximum 1,050,000 EUR before the capital increases increased by the aforementioned capital increase of 200,000 EUR to 300,000 EUR.

Before the increase of capital, the 1,250 existing shares will be divided so that the capital be represented by 1,050,000 shares, 1,050,000 EUR representing the value of the company before the increase of capital. This transaction has no impact on the present and future distribution of the shares.

This capital increase will be made at a subscription price (including issue premium) per share of 1.00 EUR.

The table below indicates the distribution of the shares of the company following these capital increases on the basis of the following assumptions:

- The result of the issue of the Notes allows MyMicroInvest Finance to subscribe to the contemplated minimum amount of 44,000 EUR;

- The other investors will subscribe to the minimum amount that is allotted to them, i.e. 156,000 EUR.

The table here below presents the percentages owned by the LMKH SPRL Account of MyMicroInvest Finance in function of the result of the emission of the notes (minimum 44,000 EUR and maximum 87,912 EUR) and of the amount invested by the other investors (maximum 156,000 EUR).
