Newtree Impact is a listed evergreen investment holding with low operational costs to fully align all stakeholder’s interests.
- SPREDS VS THE STOCK MARKET -
Currently, the "float" (the portion of shares that are dematerialised and thus held in securities accounts and can be traded) is low since the majority of Newtree Impact's shareholders are large long term investors (including funds) - hence their shares are nominative and not dematerialised. Therefore, there are currently almost no transactions on Euronext Access since the shareholders do not have the intention to sell in the foreseeable future.
The only way to access Newtree Impact's shares today, is by investing through Spreds since it bypasses traditional stock market routes, offering a privileged entry to the company's ownership. Newtree Impact current fundraising among private individuals by issuing shares that will be dematerialised which will thus increase the float. For those looking to invest in Newtree Impact today, going directly through Spreds is the only true alternative.

How can Newtree Impact makes a successful exit ?
- One of Newtree’s impact participations goes on IPO.
- A participation has grown well, becomes profitable and its Board of Directors find a buyer in a developed company generating revenues.
- Secondary market: Participations organize secondary markets between existing shareholders, offering possibilities for Newtree Impact to exit.
How does the distribution of an exit works ?
When Newtree Impact makes a successful exit, it will distribute to investors. Before distributing, Newtree Impact will first clear the loss ledger comprised of three components: the operational costs, the eventual recorded losses on investments and the realized capital losses. Once the loss ledger is cleared, the amount of the initial realized investment will be distributed directly to the shareholders, with no bonuses granted to management on that amount. Subsequently, after deducting the initial investment amount from the remaining proceeds, 90% of the remaining funds will be distributed to shareholders, while 10% (Gross) will be allocated to management as a bonus. This distribution mechanism and process is at the discretion of the board of directors or the remuneration committee, if applicable.
- THE FEE STRUCTURE -
Newtree Impact’s primary aim is to democratize impact investing, ensuring accessibility for all while maintaining cost-effectiveness. The fees are defined as the subtraction of all expenses (OPEX, salaries, finance, etc.) from operating income (virtually non-existent). The fees are capped at a maximum of 1.75% of the Net Asset Value (NAV) once they exceed €25 million. Up to that threshold, Newtree Impact will charge fees intended to cover their expenses. - NAV -
The NAV reflects the complete market value of investments managed by Newtree Impact on behalf of the shareholders. This figure is computed by adding cash and assets within Newtree Impact's accounts to the total value of all investments. The valuation methods have been established in accordance with the IPEV Valuation Guidelines.
The NAV undergoes periodic reassessment in response to the latest information indicating variations in the valuation of our investments. To maintain transparency and accuracy, Newtree Impact's NAV will be subject to annual auditing process.
